X4T Card Terms and Conditions

Version 1.0 — effective 10.09.2026

Contents

Introduction

These X4T Card Terms and Conditions (the “Agreement”) govern the X4T Card programme, including each Program Account, Card Account and X4T Card issued under it.

By applying for, activating, holding or using an X4T Card, a Card Account or a Program Account, or by permitting an Administrator or Authorized User to do so, you confirm that you have read, understood and accepted this Agreement. If you do not accept this Agreement, you must not apply for or use an X4T Card.

The X4T Card is a Visa card issued by Reap Technologies Limited, a company incorporated in Hong Kong with company registry number 2714427 (the “Issuer”), as principal issuer on the Visa payment network.

X4T S.A. (“X4T”, “we”, “us” or “our”) administers the X4T Card programme, distributes Cards and provides cardholder servicing and support.

Any right, discretion or determination expressed in this Agreement may be exercised by X4T, by the Issuer, or by either acting on behalf of the other.

This Agreement is issued in English. English is the official and binding language. If a translation is published later, it is for convenience only and the English version prevails.

1. Documents that form part of this Agreement

This Agreement includes:

  • these X4T Card Terms and Conditions;
  • the fee information we publish for the X4T Card on our website or in the X4T application (the “Fee Information”);
  • the X4T Card Privacy Policy at https://x4t.com/en/card-privacy-policy;
  • any product-specific terms we publish for a Card feature, including the X4T Card Google Pay Terms & Conditions at https://x4t.com/en/google-pay-card-terms-and-conditions; and
  • any notice, limit, restriction or schedule we issue to you in connection with the Card.

Read those documents together. Where a product-specific term (for example the Google Pay Terms) and this Agreement are inconsistent in relation to that feature only, the product-specific term prevails. In every other respect this Agreement continues to apply in full.

Your X4T exchange / wallet account remains subject to the general X4T platform terms at https://x4t.com/en/terms-and-conditions. Those platform terms do not replace this Agreement. Where they are inconsistent in relation to the Card programme, this Agreement prevails.

Visa rules, the Issuer’s issuing terms and any digital-wallet provider terms apply between you and those parties to the extent they bind you. They do not vary this Agreement, and we are not a party to a contract between you and Google, a merchant or Visa except as stated here.

“PIN” means the personal identification number allocated to a Card.

“Program Account” means the account established under this Agreement under which Cards are issued.

Capitalised terms used but not defined in a product-specific term have the meaning given in this Agreement.

3. The programme and the parties

3.1 The X4T Card programme lets eligible customers obtain one or more physical or virtual Cards linked to a Card Account under a Program Account, and use those Cards wherever Visa is accepted, subject to this Agreement, Issuer and Visa rules, and the controls we set.

3.2 X4T is the programme administrator and your primary point of contact. X4T is not the issuer of the Card and is not a bank. The Issuer issues the Card, holds the issuing relationship with Visa and may authorise, decline, settle, block or cancel Transactions and Cards.

3.3 A Card does not create a deposit account with X4T or with the Issuer. Amounts shown as Available Spend are not a bank deposit, are not insured by a deposit-guarantee scheme, and may depend on balances, reserved funds or collateral as described in Section 9.

3.4 We may provide the programme ourselves or through the Issuer and other processors. We may change processors without your consent where the change does not reduce the core features of the Card except as permitted by Section 28.

4. Eligibility and application

4.1 The programme is offered only in jurisdictions where X4T and the Issuer can lawfully offer it. We may add or withdraw jurisdictions at any time. You must not apply for or use a Card if you are located in, resident in, organised in or operating from a jurisdiction where the programme is not offered or is prohibited.

4.2 You must also satisfy the eligibility rules that apply to X4T platform accounts, including country restrictions published in our help centre or website. Additional Issuer and Visa restrictions may apply.

4.3 We may require you to hold an active X4T account in good standing, complete identity and business verification, pass sanctions and other compliance checks, and provide any document or information we or the Issuer reasonably request, before we open a Program Account or issue a Card.

4.4 Applying does not guarantee approval. We and the Issuer may approve, decline, approve with conditions, or request further information, without giving reasons where the law does not require us to do so.

4.5 You must give complete and accurate information and keep it current. You must tell us promptly if any information you gave us changes, including name, address, ownership, control, Authorized Users and contact details.

4.6 If you apply as a legal entity, the individual who submits the application represents that they have authority to bind that entity.

5. Business use only

5.1 X4T Cards are issued for business purposes. Cards must not be used for personal, family or household purposes.

5.2 You are responsible for ensuring that every Administrator and Authorized User uses the Card only for permitted business purposes.

5.3 Use of a Card in breach of this Section is a material breach. We may decline Transactions, freeze or cancel Cards, close the Program Account and report the activity where required.

6. Opening and structuring accounts

6.1 If we accept your application we will establish a Program Account for you. One or more Card Accounts and Cards may be issued under that Program Account.

6.2 You must appoint at least one Administrator. The Administrator may, according to the permissions we enable:

  • add, replace and remove Authorized Users;
  • request issuance, freeze, unfreeze, replacement and cancellation of Cards;
  • set and change spend limits, merchant-category controls, country controls and other restrictions;
  • view Transactions, statements and Card credentials to the extent the interface allows; and
  • communicate with us on behalf of the Program Account.

6.3 Acts and omissions of an Administrator or Authorized User are your acts and omissions. You are liable for every Transaction made with a Card issued under your Program Account, subject only to Section 16.

6.4 An Authorized User has no claim against us for Available Spend, Card balances or statements. Their rights, if any, are against you.

6.5 You must recover a Card and revoke access immediately when an Authorized User leaves, is suspended, or is no longer authorised. Until you freeze or cancel the Card in the X4T application or notify us and we act on that notice, Transactions by that person are treated as authorised by you.

7. Issuing physical and virtual Cards

7.1 We may issue virtual Cards, physical Cards, or both, at our discretion and according to what the programme supports in your jurisdiction.

7.2 A virtual Card is available in the X4T application once activated. Displayed numbers are truncated except where the interface shows full details to an authenticated user. You must not photograph, copy or share Card details except as needed to complete a Transaction or enrol a supported wallet.

7.3 A physical Card is sent to the address we have on file, or made available for collection, as we specify. Delivery times are estimates. Risk of loss passes when the Card is delivered to the address or person you designated, except where mandatory law provides otherwise.

7.4 You must sign a physical Card if it has a signature panel, keep it secure, and activate it in the manner we specify before first use if activation is required.

7.5 A Card remains the property of the Issuer. You must return or destroy it if we ask you to.

7.6 We may replace a Card at any time, including on expiry, suspected compromise, scheme reissue or a change of PAN or token. A replacement Card is subject to this Agreement.

7.7 We may limit the number of Cards, devices or wallet tokens per Program Account or per Card.

8. PIN, credentials and security

8.1 We or the Issuer may allocate a PIN or allow you to set one. You must keep the PIN, Card details, one-time codes, passwords, 2FA devices and wallet unlock methods secret.

8.2 You must not write the PIN on the Card or store credentials in an insecure manner. You must not disclose them to anyone, including a person who claims to be from X4T, the Issuer, Visa or a merchant, except through a channel we have verified.

8.3 You must keep devices used for the Card locked, updated and free of unauthorised modification (including jailbreaking or rooting where that defeats security controls).

8.4 Sharing a device, PIN, passcode or biometric access with another person means Transactions made with that access are authorised by you.

8.5 You must notify us immediately using Section 36 if a Card, device, PIN or other credential is lost, stolen, compromised or used without permission, or if you suspect fraud.

9. Available Spend, funding and authorisation

9.1 A Transaction is authorised only if, at the time of the authorisation request, we or the Issuer accept it. Authorisation may be declined for any lawful reason, including insufficient Available Spend, a control or limit, a suspected risk, a merchant or country restriction, a scheme or Issuer decline, a technical outage, or a compliance hit.

9.2 Available Spend is calculated by us and/or the Issuer and may take into account:

  • eligible balances on your X4T account or wallet that we treat as available to support Card spend;
  • amounts reserved, blocked or pending on the Card Account;
  • collateral or pre-funding we or the Issuer require, if the programme uses that model for you;
  • fees, conversions and estimated scheme amounts;
  • spend limits and other controls; and
  • any hold we place after a decline, reversal or suspected over-spend.

9.3 Available Spend is not a promise that a later Transaction will be approved. Merchants may send an authorisation for an amount higher than the final ticket (hotels, car hire, fuel). That reservation reduces Available Spend until it is released or posted.

9.4 If the programme supports funding Card spend from crypto-asset or fiat balances held with X4T, then when a Transaction is authorised or settled we may convert, reserve, lock or apply those balances at the rate and in the pair we determine at that time. Conversion is irreversible once executed, except for a later refund processed under Section 14.

9.5 Crypto-asset prices move. A change in the value of a balance after authorisation does not reduce your obligation to settle the posted Transaction. If a conversion or reserve fails, the Transaction may still be presented by the merchant and you remain liable for the posted amount.

9.6 If a Transaction is posted that exceeds Available Spend (including because of FX, delayed presentment, offline acceptance, split shipments or a system error), you must repay the excess immediately on demand. We may recover the excess from any X4T balance, from later incoming funds, or by any other lawful means.

9.7 Nothing in this Agreement requires us to extend unsecured credit. If a statement balance, collateral arrangement or repayment obligation applies to your product, it will be described in the Fee Information or in a notice we give you. Until then, spend is limited to Available Spend.

10. Using the Card

10.1 You may use an active Card to pay merchants that accept Visa in the manner enabled for that Card (chip, contactless, magnetic stripe where still accepted, manual entry, e-commerce, tokenised wallet).

10.2 You may withdraw cash at an ATM or obtain a cash advance only where we have enabled that function for the Card and the terminal accepts it. Cash withdrawals and cash advances are subject to the limits, fees and conditions in the Fee Information and to ATM-operator charges.

10.3 You must not use a Card:

  • for personal, family or household purposes;
  • for any unlawful purpose, including sanctions evasion, money laundering, terrorist financing or fraud;
  • in a restricted jurisdiction or with a restricted person;
  • for gambling, adult content, crypto-exchange top-ups, money-remittance, escrow, or other categories we or the Issuer block from time to time, except where we have expressly enabled that MCC;
  • to test a stolen-card or enumeration attack;
  • after it has expired, been frozen or been cancelled; or
  • in a way that breaches Visa rules or this Agreement.

10.4 A merchant is independent of us. We are not responsible for the quality, safety, legality or delivery of goods or services, or for a merchant’s refusal to accept the Card.

10.5 Recurring payments remain your responsibility until you cancel them with the merchant and they stop being presented. Cancelling the Card does not always stop merchant-initiated presentments; you must also cancel the mandate with the merchant.

10.6 We may require additional authentication (including 3-D Secure, one-time codes or in-app confirmation) for some Transactions. If you cannot complete it, the Transaction may be declined.

11. Limits and controls

11.1 We and the Issuer may set and change, at our discretion:

  • per-Transaction, daily, weekly and monthly spend limits;
  • ATM and cash limits;
  • limits per Card, per Authorized User and per Program Account;
  • merchant-category and merchant-level blocks;
  • country and currency blocks;
  • velocity and device limits; and
  • any other control required for risk, scheme or legal reasons.

11.2 An Administrator may set stricter controls than our default controls, but cannot override a block we or the Issuer impose.

11.3 Limits are notified in the X4T application, on the website, or by email or other notice. A Transaction that would exceed a limit may be declined without prior warning at the terminal.

12. Digital wallets

12.1 You may add an eligible Card to a supported digital wallet (including Google Pay, where offered) only if you accept the wallet provider’s terms and any product-specific X4T terms for that wallet.

12.2 Wallet use does not create a separate Card Account or additional Available Spend. All limits and this Agreement apply.

12.3 Device tokens and Device Card Numbers are not the same as the physical or virtual Card number. Refunds and presentments may use the token.

12.4 Removing a Card from a wallet does not close the Card and is not notice to us of loss or theft.

13. Foreign currency

13.1 Card Accounts may be denominated in the currency we specify (including United States dollars). A Transaction in another currency is converted by Visa and/or the Issuer at the scheme rate applicable on the date the Transaction is processed, plus any conversion fee in the Fee Information.

13.2 The amount you see at the merchant or in a wallet at the time of purchase may differ from the amount later posted. The posted amount is binding.

13.3 Using the Card does not change how X4T converts crypto-assets to the currency used to settle the Card, except as described in Section 9.

14. Refunds, reversals and chargebacks

14.1 A merchant refund is credited to the Card Account only when we receive the corresponding scheme credit. Timing depends on the merchant and Visa. We are not obliged to credit you before that.

14.2 A refund does not cancel a related conversion fee or ATM fee already charged, except where the Fee Information says otherwise.

14.3 If you dispute a Transaction, you must tell us promptly and in any event within the period we publish in the X4T application or help centre, and no later than the period allowed by Visa rules. Late notice may bar the claim.

14.4 Chargebacks are decided under Visa rules. We may require documents, a police report or a declaration. We may credit the Card Account provisionally and reverse that credit if the claim fails.

14.5 You must not dispute a Transaction that you or an Authorized User authorised, except for a true processing error. Unjustified disputes may be charged as set out in the Fee Information and may lead to closure of the Card.

14.6 For goods and services you must first seek resolution from the merchant, unless the law or Visa rules require otherwise.

15. Statements and records

15.1 We will make Transaction history available in the X4T application and may issue periodic statements.

15.2 You must review history promptly. You must report an error or unauthorised Transaction as required by Section 14 and Section 16.

15.3 Our records, and the Issuer’s and Visa’s records, of a Transaction are conclusive in the absence of obvious error.

15.4 Wallet or merchant displays are not statements. If they differ from the Card Account, the Card Account prevails.

16. Lost, stolen and unauthorised use

16.1 You must notify us immediately through the X4T application or the contacts in Section 36 if:

  • a Card or a device on which a Card is enrolled is lost, stolen or not in your possession;
  • a PIN, passcode, one-time code or biometric access is compromised; or
  • you believe a Transaction was not authorised.

16.2 Notifying a wallet provider, a merchant or Visa is not notice to us.

16.3 After we have received effective notice, you are not liable for subsequent unauthorised use of that Card, except where you acted fraudulently.

16.4 Until we receive effective notice, you remain liable for all use of the Card, including use by an Authorized User or by a person who obtained access because a credential or device was not kept secure, unless we determine that:

  • you and the relevant Authorized User complied with this Agreement;
  • you notified us without undue delay;
  • you have assisted with the investigation; and
  • the Transactions did not result from your or their wilful misconduct, gross negligence or fraud.

16.5 We may require a police report, a signed declaration and reasonable cooperation. We may freeze the Card immediately.

16.6 You must not use a Card after you have reported it lost or stolen. If you find it, destroy it.

17. Fees, charges and taxes

17.1 You must pay the fees, charges and other amounts set out in the Fee Information, together with any amount posted to the Card Account.

17.2 The Fee Information is published on our website and/or in the X4T application and forms part of this Agreement. We may change it in accordance with Section 28.

17.3 Fees may include, among others, issuance or replacement fees, delivery fees, FX conversion fees, ATM or cash fees, inactivity fees, chargeback-handling fees and third-party scheme fees, in each case only if listed in the then-current Fee Information.

17.4 We may deduct fees from Available Spend, from X4T balances used to support the Card, or by posting them to the Card Account.

17.5 You are responsible for ATM-operator surcharges, merchant surcharges, data and roaming charges, and any tax, duty or withholding that applies to your use of the Card. If we are required to collect a tax, we may post it to the Card Account.

17.6 You are responsible for determining and paying any tax on your business spend. We do not give tax advice.

18. Communications

18.1 We may send notices through the X4T application, by email to the address on file, by SMS, by push notification, by posting on our website, or by delivery to the commercial or registered address.

18.2 Electronic notices satisfy any requirement for writing. You must keep contact details current. A notice is deemed received when sent to the last details you gave us, or when posted in the application, except where mandatory law requires otherwise.

18.3 We may record calls and retain chats and emails for security, training, evidential and regulatory purposes, as described in the X4T Card Privacy Policy.

18.4 Service, security and legal messages are not marketing. Marketing is sent only as permitted under the X4T Card Privacy Policy.

19. Compliance, sanctions and information

19.1 You must comply with applicable law, including AML/CFT, sanctions, tax and consumer rules that apply to your business.

19.2 You represent that you, your Administrators, Authorized Users, directors and beneficial owners are not sanctioned persons and are not located in a comprehensively sanctioned jurisdiction.

19.3 We and the Issuer may screen Transactions, parties and devices, delay or decline a Transaction, freeze a Card or Program Account, and request information or documents at any time. You must cooperate.

19.4 We may withhold, block or report funds or Transactions where required by SEPRELAD, the Issuer, Visa, a correspondent, or any competent authority.

19.5 You must not use the Card to evade platform, Issuer or legal restrictions that apply to your X4T account.

20. Suspension, freeze and cancellation

20.1 We or the Issuer may freeze, block, restrict, replace or cancel a Card, Card Account or Program Account at any time, with or without prior notice, including where:

  • you breach this Agreement or the platform terms;
  • we suspect fraud, unauthorised use or a security risk;
  • verification is incomplete, outdated or fails;
  • a sanctions, AML or law-enforcement issue arises;
  • Required funding, collateral or repayment is missing;
  • the Issuer, Visa or a regulator requires it;
  • the programme is withdrawn in your jurisdiction; or
  • we decide, acting reasonably, that continuing the relationship presents an unacceptable risk.

20.2 You or an Administrator may freeze or cancel a Card in the X4T application, or by contacting us. Cancellation of a Card does not close the Program Account unless we or you also close it.

20.3 On cancellation you must stop using the Card, destroy physical Cards, and remove the Card from every wallet. Recurring merchants must be cancelled by you.

20.4 Cancellation does not extinguish amounts already posted or later presented for Transactions authorised before cancellation. Those amounts remain payable and may be recovered from your X4T balances.

21. Closure of the Program Account

21.1 You may request closure of the Program Account by contacting us. We may require you to destroy Cards, settle outstanding amounts and complete any review before closure takes effect.

21.2 We may close the Program Account on notice, or immediately in the cases listed in Section 20.1.

21.3 After closure we may keep records as required by law and the X4T Card Privacy Policy. Residual scheme presentments may still post; you remain liable for them.

22. Privacy

Personal data is processed as described in the X4T Card Privacy Policy. That policy forms part of this Agreement. By entering into this Agreement you acknowledge that processing.

23. Intellectual property

The X4T names, marks, application, website and documentation are owned by X4T or its licensors. Visa marks are owned by Visa. You receive no right in them except a limited, revocable right to use a Card bearing those marks in accordance with this Agreement.

24. Disclaimer of warranty

The Card programme is provided as available. To the maximum extent permitted by law, we and the Issuer disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that authorisation, settlement, the application or a wallet will be uninterrupted, error-free or available at every merchant or ATM.

25. Limitation of liability

25.1 To the maximum extent permitted by applicable law, neither X4T nor the Issuer, nor their processors, suppliers or licensors, nor their respective affiliates, agents, directors and employees, is liable for any indirect, punitive, incidental, special, consequential or exemplary loss, including loss of profit, goodwill, business opportunity, use or data.

25.2 To the same extent, those parties are not liable for:

  • a merchant’s refusal to accept a Card;
  • an ATM or acquirer failure;
  • a decline, delay or error caused by Visa, a wallet provider, a telecommunications provider or a force-majeure event;
  • fluctuation in crypto-asset or FX rates;
  • loss arising from your or an Authorized User’s failure to keep credentials or devices secure;
  • loss arising after you failed to notify us as required by Section 16; or
  • content or services of a third party.

25.3 Except for liability that cannot lawfully be limited, the aggregate liability of X4T and the Issuer to you arising out of the Card programme in any twelve-month period is limited to the total Card-related fees you actually paid to X4T in that period or, if greater, United States dollars one hundred (USD 100).

25.4 Nothing in this Agreement excludes or limits liability for fraud, for death or personal injury caused by negligence where that cannot be excluded, or for any other liability that cannot lawfully be excluded.

26. Indemnity

You must indemnify X4T, the Issuer and their officers, employees and agents against claims, losses, costs and liabilities arising from:

  • use of a Card by you, an Administrator or an Authorized User;
  • breach of this Agreement;
  • a dispute with a merchant or Authorized User;
  • inaccurate information you provided; or
  • your failure to freeze a Card when an Authorized User should no longer have access,

except to the extent caused by our wilful misconduct.

27. Force majeure

We are not liable for delay or failure caused by events beyond our reasonable control, including scheme outages, utility or communications failure, war, terrorism, sanctions, change of law, epidemic, flood, fire, labour dispute, or failure of a processor, wallet provider or the Issuer.

28. Changes

28.1 We may change this Agreement, the Fee Information and any limit or control.

28.2 We will give prior notice of a material change through the X4T application, website or email, except where the change is required immediately by law, Visa, the Issuer or a security risk, in which case we may give notice afterwards.

28.3 If you do not accept a change you must stop using the Card and request closure before the change takes effect. Continued use after the effective date is acceptance of the change.

29. Assignment

29.1 You may not assign or transfer this Agreement or a Card without our prior written consent.

29.2 We and the Issuer may assign or transfer this Agreement, a Card Account or any right under it to an affiliate or to a successor programme operator or issuer, and may subcontract performance.

30. No waiver

A failure or delay in exercising a right is not a waiver. A waiver must be express and in writing.

31. Third-party rights

Except for the Issuer, who may enforce this Agreement, a person who is not a party has no right to enforce it. Authorized Users are not third-party beneficiaries.

32. Survival

Sections that by their nature should survive (including 3.3, 6.3, 9.6, 14, 16, 17, 19, 21.3, 22 to 26, 29 to 35) survive closure of the Program Account.

33. Severability

If a provision is invalid or unenforceable, the remaining provisions continue. The invalid provision is modified to the minimum extent needed to make it valid.

34. Entire agreement

This Agreement is the entire agreement for the Card programme and replaces prior statements about the Card, except for fraud. Platform terms continue for non-Card services.

35. Governing law and disputes

35.1 This Agreement is governed by the laws of the Republic of Paraguay.

35.2 You must first send a complaint to support@x4t.com. We will handle Card disputes and chargebacks under this Agreement. Contact us, not Visa or Google, as your first step.

35.3 If the complaint is not resolved, the courts of the city of Asunción have jurisdiction, without prejudice to any mandatory consumer forum that the law gives you.

35.4 Issuer-side matters may also be subject to the laws and forums that apply to the Issuer.
