X4T Card Google Pay Terms and Conditions

Introduction

These terms and conditions (the "Terms") govern your access to and use of an X4T Card through Google Pay. By registering an X4T Card for use in Google Pay on an Android Device, or by permitting an Authorized User to add an X4T Card linked to your Program Account to Google Pay on their Android Device, you confirm that you have read, understood and accepted these Terms and agree to use the X4T Card in accordance with them. If you do not accept these Terms, you must not add an X4T Card to Google Pay, and you must remove any X4T Card already added. The X4T Card is issued by Reap Technologies Limited, a company incorporated in Hong Kong with company registry number 2714427 (the "Issuer"), as a principal issuer on the Visa payment network. X4T S.A. ("X4T", "we", "us" or "our") administers the X4T Card programme, distributes Cards, and provides cardholder servicing and support. Any right, discretion or determination expressed in these Terms may be exercised by X4T, by the Issuer, or by either acting on behalf of the other. These Terms are supplemental to the card programme account agreement that applies to your X4T Card and to any related documents referred to in it (together, the "Agreement"). Read these Terms and the Agreement together. Where these Terms and the Agreement are inconsistent in relation to the use of an X4T Card through Google Pay, these Terms prevail. In every other respect the Agreement continues to apply in full, and nothing in these Terms reduces your obligations under it. Your use of Google Pay is separately subject to the terms Google sets for that service. Those terms form an agreement between you and Google. They do not vary, override or form part of these Terms, and we are not a party to them.

Eligibility and Enrolment

Google Pay may be used with an eligible X4T Card to pay for goods and services using an eligible Android Device at merchants that accept contactless payment over near field communication ("NFC"), and at online and in-application merchants that accept Google Pay. An X4T Card may be added to Google Pay in either of the following ways ("Card Registration"):

  • from within the X4T application, where we make that function available; or
  • directly in the Google Pay wallet, by scanning the Card or entering the Card details manually.

Where you begin Card Registration from within the X4T application, you instruct us to transmit the Card details to Google and to the relevant token service provider for the purpose of completing the registration. Before Card Registration completes, we may require you to authenticate yourself, including by entering a one-time passcode sent to the mobile number or email address recorded for you, by confirming the request in the X4T application, or by any other method we make available ("Additional Authentication"). We may also apply risk checks and may require further verification before approving a registration. Card Registration will be declined where the Card is not eligible for the service, where Additional Authentication is unsuccessful, where the Card or the underlying Program Account is not in good standing, or where we consider the request to present an unacceptable risk. We are not required to give reasons. Where a Program Account holds more than one X4T Card, each Card is treated separately and requires its own Card Registration and Additional Authentication. Google may limit the number of cards that can be stored on a single Android Device. That limit is set by Google and is outside our control. We may separately limit the number of Android Devices on which the same X4T Card may be registered, and will notify you of any such limit. On registration, a numerical identifier different from your Card number (the "Device Card Number") is allocated for use in Google Pay. The Device Card Number, and not your Card number, is used to make purchases and to receive refunds through Google Pay. Because of the way Google Pay operates, a merchant may require you to present the Android Device when you return an item purchased through Google Pay on that device. Renewal of an X4T Card on expiry, or replacement of a damaged Card, does not affect the registration of that Card in Google Pay, whether or not the renewed or replacement Card has been activated.

Availability and Geographic Restrictions

The X4T Card programme and the availability of Google Pay for X4T Cards are limited to the jurisdictions in which we and the Issuer are able to offer them. We may add or withdraw jurisdictions at any time. You must not register or use an X4T Card in Google Pay in, or for the benefit of any person in, a jurisdiction in which the programme is not offered or in which we or the Issuer are prohibited from providing the service. Availability of Google Pay itself in a given jurisdiction is determined by Google and is outside our control.

Administrator and Authorized User Responsibilities

Where you participate in the programme through a Program Account, your Administrator is responsible for managing how Authorized Users use Cards, including whether Cards may be registered in Google Pay, where we make that control available. You must ensure that every Administrator and Authorized User is informed of these Terms and complies with them. You are responsible for the acts and omissions of your Administrators and Authorized Users in connection with Google Pay as if they were your own. You must notify us without delay when an Authorized User ceases to be authorised, and you must ensure that any X4T Card registered on that person's Android Device is removed.

Using Your X4T Card Through Google Pay

Once an X4T Card is registered, the Android Device may be used in place of the physical Card to authorise transactions on the Card Account at a contactless terminal, within an application, or online where Google Pay is accepted. Where the wallet, the Android Device and the terminal support it, you may also be able to withdraw cash at an automated teller machine. Cash withdrawals and cash advances are subject to the limits, fees and conditions set out in the Agreement. All spending limits, transaction limits, merchant category restrictions, country restrictions, available spend and other controls that apply to your Card under the Agreement apply equally to transactions made through Google Pay. Registering a Card in Google Pay does not create a new card, a new Card Account, additional available spend or any additional credit. Use of Google Pay is at your discretion. You are not required to use Google Pay with any X4T Card. Any access to or use of an X4T Card through Google Pay is treated as authorised by you, and you are responsible and liable for it, subject only to the section headed "Lost or Stolen Devices and Unauthorised Use". Neither X4T nor the Issuer is responsible where a merchant refuses to accept a payment made through Google Pay, or where a terminal, an Android Device, a network or the wallet service is unavailable, delayed or malfunctioning.

Business Use Only

X4T Cards are issued for business purposes. Cards must not be used for personal, family or household purposes. This restriction applies to transactions made through Google Pay in the same way as to any other use of the Card.

Device and Credential Security

You must keep secure any Android Device on which an X4T Card is registered. This includes locking the device when it is not in use or is unattended, keeping its operating system and security software current, and not using a device that has been jailbroken, rooted, or otherwise modified contrary to the manufacturer's software or hardware guidelines or with its hardware or software security controls disabled. Using such a device with an X4T Card in Google Pay is prohibited, constitutes a breach of these Terms, and entitles us to withdraw access to the Card through Google Pay. You must protect the passcode, pattern or personal identification number that unlocks the Android Device or the wallet with at least the care you would apply to a banking password. In particular you must not:

  • disclose or share it with any other person;
  • keep a record of it with the Android Device, or with anything likely to be stolen together with the device, unless reasonable steps are taken to protect that record;
  • choose a value that is easily guessed, such as a date of birth or a recognisable part of a name; or
  • act negligently in protecting it.

If you disclose or share your passcode, pattern or personal identification number with another person, you are treated as having authorised that person to transact on the Card Account through Google Pay. Transactions initiated by that person are authorised by you, and the provisions of the Agreement dealing with unauthorised transactions do not apply to them. Where biometric identifiers registered on the Android Device can be used to unlock the device or the wallet and so access an X4T Card, you must not permit any other person's biometric identifier to be stored on that device. If another person's biometric identifier is stored on the device, whether now or at any time in the future, and can be used to access the Card, you are treated as having authorised that person to transact on your behalf, and you are responsible and liable for the resulting transactions. Where biometric verification, a personal identification number or a passcode is used within Google Pay, the capture, storage, enrolment and matching of those credentials is performed entirely by the technology on the Android Device. We do not control that technology and are not responsible for its availability, capability, verification method, security or integrity, or for any transaction authorised by means of it. You should satisfy yourself that the device's verification method and the risks associated with it are acceptable to you before relying on it. You must take all reasonable steps to prevent fraud, loss or theft affecting the Android Device or any X4T Card registered in Google Pay.

Transaction History Displayed in Google Pay

Transaction information shown in Google Pay reflects only the authorisation of a transaction on that Android Device. It does not reflect subsequent activity, including clearing, settlement, currency conversion, reversals, refunds, returns or chargebacks. The amount, currency, merchant details and other information shown in Google Pay may therefore differ from the amount ultimately cleared, settled and posted to the Card Account. Where the account statement and the information displayed in Google Pay differ, the account statement prevails, and you remain liable for the amounts shown on it. You should review your transaction history and account statements regularly through the channels described in the Agreement rather than relying on the wallet display.

Refunds, Returns and Currency Conversion

Refunds and reversals relating to a transaction made through Google Pay are credited to the Card Account and not to the Android Device. Timing depends on the merchant and on the payment network, and is outside our control. A merchant may require you to present the same Android Device that was used for the original transaction in order to process a return. Where a transaction is made in a currency other than the settlement currency of your Card, the conversion is performed as described in the Agreement. Google Pay does not change how conversion is performed or the rates that apply.

Fees and Charges

The fees, interest and charges that apply to your X4T Card under the Agreement continue to apply after Card Registration and are published on our website. We do not currently charge an additional fee for using an X4T Card through Google Pay. We reserve the right to introduce such a fee, subject to prior notice given in accordance with the Agreement. You are responsible for any third-party charges arising from your use of Google Pay, including charges applied by your telecommunications carrier or internet provider for web enablement, data, messaging or roaming.

Notifications and Communications

As a condition of using an X4T Card through Google Pay, you consent to our sending notifications, calls, including automatically dialled calls, and text messages to the Android Device, whether or not the number associated with that device is the number recorded for you. You consent to receiving notices and communications relating to these Terms electronically, including through the X4T application, by email to the address recorded for you, or by publication on our website. Electronic notice has the same effect as notice in writing. We may record or retain records of communications with you for security, training, regulatory and evidential purposes.

Suspension and Termination

We may suspend, block or cancel your ability to use an X4T Card through Google Pay at any time, without prior notice and without giving reasons. This includes restricting or suspending the types of transaction permitted through Google Pay, changing the eligibility of a Card for use with Google Pay, and changing the authentication process. We may set limits on the daily aggregate amount and on individual transaction amounts charged through Google Pay. Limits are set at our discretion and notified to you from time to time. We may delete or suspend a Device Card Number where we suspect fraud, unauthorised use or a security risk, where required by the Issuer, by Google, by Visa or by applicable law, or where the wallet service ceases to be supported for the programme. Where an X4T Card is cancelled or suspended under these Terms or under the Agreement, it cannot be used through the Android Device, even if the Card continues to appear in Google Pay.

Effect of Termination of the Agreement

If the Agreement terminates, or if your Program Account or Card is closed, your right to use the Card through Google Pay ends at the same time. You must remove the Card from Google Pay on every Android Device on which it is registered. Termination does not affect any liability that has already accrued, including liability for transactions authorised before termination that have not yet been settled.

Lost or Stolen Devices and Unauthorised Use

You must notify us immediately if an Android Device holding an X4T Card is lost or stolen, if a biometric identifier, personal identification number, pattern or passcode is compromised or has been used without your permission, or if an X4T Card has been used through Google Pay without your permission. If we require, you must provide a police report, a statutory declaration in the form we specify, or any other information we reasonably request, and you must assist with any investigation or recovery. You remain liable for all unauthorised use of an X4T Card through Google Pay until you notify us, unless we determine, at our discretion, that you have complied fully with these Terms, that you notified us without undue delay, that you have assisted with the investigation and recovery, and that the unauthorised transactions did not result from your wilful misconduct, gross negligence or fraud. Notifying Google does not constitute notice to us. Removing a Card from Google Pay does not constitute notice to us. Contact us using the details in the section headed "How to Contact Us".

Disputes and Complaints

Disputes about a transaction made through Google Pay are handled under the dispute and chargeback process set out in the Agreement. Contact us, not Google. Report any incorrect or unauthorised transaction as soon as you become aware of it and within the time limits set out in the Agreement. A late report may mean that a claim can no longer be raised with the payment network and that you remain liable for the transaction. Where a dispute concerns goods or services that were not received or were not as described, contact the merchant first. We acknowledge complaints within five business days and aim to resolve them within fifteen business days of submission. Complaints about Google Pay itself, as distinct from your X4T Card, should be directed to Google.

Compliance, Sanctions and Information Requests

You must not use an X4T Card through Google Pay for any unlawful purpose, or in connection with any activity that we, the Issuer, Visa or Google identify as restricted or prohibited. You represent that neither you, nor any Administrator or Authorized User, is subject to any sanctions list or other governmental designation that would prevent us or the Issuer from providing the Card or the service to you, and you must notify us immediately if that changes. We may request information from you at any time in order to meet our legal, regulatory and payment network obligations, including obligations relating to the prevention of money laundering and the financing of terrorism. We may decline, delay, block or reverse a transaction, and may suspend the use of a Card through Google Pay, where we consider it necessary to meet those obligations. We are not liable for any loss arising from action taken for that purpose.

Tax

You are responsible for determining and paying any tax that arises in connection with your use of an X4T Card through Google Pay. We do not provide tax advice.

Authorisation to Collect and Share Data

You agree that we may collect, transmit, store and use technical, location, login and other information about you and your use of an X4T Card through Google Pay. This may include information about the Android Device, such as application version, device type and model, operating system, and security information including whether the device has been granted root access. We use this information:

  • to enable and ensure the correct functioning of the X4T Card in Google Pay;
  • for security purposes and to detect, prevent and investigate fraud;
  • to provide you with support and to handle disputes and complaints;
  • to meet our legal, regulatory and payment network obligations; and
  • to inform you about other products or services that may be relevant to you.

You acknowledge that Google, as the provider of the Google Pay technology, Visa, as the payment network branded on the Card, and the Issuer and its token service provider, together with their respective subcontractors, agents and affiliates, will have access to details of transactions made through Google Pay. That access is for the purposes of performing their obligations, providing transaction data, detecting and addressing fraud, complying with applicable law, responding to court orders and regulatory enquiries, operating and improving Google Pay, and producing business and technical reporting. Information you provide directly to Google, to Visa or to any other party supporting Google Pay is handled under that party's own privacy policy, over which we have no control. Our handling of your information is described in the X4T privacy policy, which forms part of the Agreement.

Merchant Relationships and Disclaimers

Merchants may offer discounts, rebates or other benefits where payment is made through Google Pay. Any such offer is subject to terms agreed between you and that merchant. We are not liable for any loss arising from your dealings with a merchant in relation to such an offer. Delivery of goods and services, returns, refunds and warranties are matters solely between you and the merchant. We do not endorse or warrant any merchant accessible through Google Pay, or any offer a merchant makes.

Changes to These Terms

We may amend these Terms at any time on reasonable prior notice, including by publishing an updated version on our website or by notifying you electronically. You are bound by the version in force at the time of use, and you should review the current Terms periodically. If you do not accept an amendment, you must remove your X4T Cards from Google Pay.

Intellectual Property

All intellectual property rights in Google Pay, including patents, trade secrets, copyright, trademarks and moral rights, and including text, graphics, software, images, video, sound, trademarks and logos, belong to Google, to us, to the Issuer, or to our respective licensors or other third parties. Nothing in these Terms grants you any right in that intellectual property, and you acquire no ownership rights by adding an X4T Card to Google Pay or by using it through Google Pay.

Disclaimer of Warranty

Google Pay is provided by Google and without warranty from us. Your use of an X4T Card through Google Pay may be delayed, interrupted or disrupted for reasons outside our control, and neither we nor our affiliates are liable for any claim arising from such delay, interruption, disruption or failure. We are not a party to the agreement between you and Google concerning Google Pay. We do not own Google Pay, do not warrant it, and are not responsible for its performance, maintenance or support. We are not responsible for claims, losses, liabilities, damages, costs or expenses relating to Google Pay, including product liability claims, claims that Google Pay does not meet a legal or regulatory requirement, claims under consumer protection legislation, and claims of intellectual property infringement. Enquiries and complaints concerning Google Pay itself, including those concerning intellectual property, should be directed to Google. We make no representation or warranty about the performance or operation of any Android Device. You are responsible for selecting the Android Device and for all matters relating to its operation, performance and cost.

Limitation of Liability

To the maximum extent permitted by applicable law, neither we nor our processors, suppliers or licensors, nor their respective affiliates, agents, directors and employees, are liable for any direct, indirect, punitive, incidental, special, consequential or exemplary damages, including loss of profit, goodwill, business opportunity, use or data, or any other intangible loss, arising from the use of, inability to use, or unavailability of Google Pay, including your use of an X4T Card through Google Pay. To the maximum extent permitted by applicable law, none of those parties assumes liability for errors or inaccuracies of content; for personal injury or property damage resulting from access to or use of Google Pay; for any interruption or cessation of transmission to or from Google Pay; for bugs, viruses or other harmful code transmitted through Google Pay by a third party; for any loss arising from content made available through Google Pay; or for the conduct of any third party. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Indemnity

You will indemnify and hold harmless X4T and the Issuer, and their respective employees, directors, agents, affiliates and representatives, against all claims, costs, losses, damages, judgments, tax assessments, penalties, interest and expenses, including reasonable legal fees, arising from any claim, action, audit, investigation, enquiry or other proceeding brought by any person that relates to:

  • any actual or alleged breach by you of these Terms or of our policies;
  • your wrongful or improper use of Google Pay, including wilful misconduct or fraud;
  • your infringement of any third-party right, including rights of privacy, publicity and intellectual property;
  • your breach of any applicable law, rule or regulation;
  • any access to or use of Google Pay by another person using your biometric identifier, personal identification number, pattern, passcode or other security credential; and
  • any change in law, regulation, guideline, official directive or circular that affects the X4T Card or Google Pay.

Amounts owed under this section may be charged to the Card Account or paid by you on demand.

Representations and Warranties

You represent and warrant that: any name provided on Card Registration is your name or that of the relevant Authorized User; you are the holder of, or are duly authorised in respect of, every X4T Card added to Google Pay; you and all transactions initiated by you or by your Authorized Users will comply with all applicable laws and regulations, including tax laws; you are authorised to receive notices, calls and text messages at the number you provide; you will not use an X4T Card through Google Pay for any fraudulent purpose or in any manner that interferes with the operation of Google Pay; you will not permit any third party to use an X4T Card through Google Pay; and your use of the Card through Google Pay will comply with these Terms.

Removing Your X4T Card from Google Pay

You may remove an X4T Card from Google Pay at any time by following Google's instructions or by contacting us. You must remove every X4T Card from an Android Device before you sell, exchange, return, dispose of, send for repair, or otherwise part with possession of that device. Removing a Card from Google Pay does not cancel or terminate the Card itself, which remains subject to the Agreement. Cancelling a Card does not automatically remove it from every Android Device on which it has been registered.

Force Majeure

We are not liable for any failure or delay in performing our obligations under these Terms where the failure or delay results from an event outside our reasonable control, including acts of God, natural disaster, epidemic, war, civil unrest, industrial action, failure of a telecommunications, internet, power or payment network, the act or omission of Google, Visa or the Issuer, or any act of a government or regulator.

Assignment

We and the Issuer may transfer or assign our rights and obligations under these Terms. You may not transfer or assign any of your rights or obligations under these Terms without our prior written consent. Any purported assignment in breach of this section is void.

No Waiver

No delay or failure by us in exercising a right under these Terms operates as a waiver of that right or of any other right. A waiver is effective only if given by us in writing, and applies only to the instance for which it is given.

Third Party Rights

The Issuer, and each person indemnified under the section headed "Indemnity", may enforce the provisions of these Terms that are expressed for their benefit. Except as stated in this section, a person who is not a party to these Terms has no right to enforce any of their provisions.

Survival

The sections headed "Transaction History Displayed in Google Pay", "Fees and Charges", "Lost or Stolen Devices and Unauthorised Use", "Disputes and Complaints", "Compliance, Sanctions and Information Requests", "Tax", "Authorisation to Collect and Share Data", "Intellectual Property", "Disclaimer of Warranty", "Limitation of Liability", "Indemnity", "Assignment", "Third Party Rights", "Survival", "Severability", "Governing Law", "Language" and "Definitions" survive the termination of these Terms, together with any other provision that by its nature is intended to survive.

Severability

If any provision or part of a provision of these Terms is unlawful, invalid or unenforceable, it is severed and the remaining provisions continue in full force and effect.

Governing Law

These Terms are governed by the same law, and are subject to the same dispute resolution and jurisdiction provisions, as the Agreement.

Language

These Terms are issued in English. Translations may be made available for convenience. Where the English version and a translation are inconsistent, the English version prevails.

Definitions

Capitalised terms not defined in these Terms have the meaning given to them in the Agreement. In addition: "Additional Authentication" has the meaning given in the section headed "Eligibility and Enrolment". "Administrator" means the person appointed under the Agreement to administer a Program Account, including the management of Authorized Users. "Android Device" means a device running the Android operating system that we determine, at our discretion, is eligible for the registration of an X4T Card in Google Pay. A device modified contrary to the manufacturer's software or hardware guidelines, including by disabling hardware or software controls, is not eligible. "Authorized User" means a person authorised under the Agreement to use an X4T Card issued under the Program Account. "Card" or "X4T Card" means a Visa card issued by the Issuer and made available under the X4T Card programme administered by X4T, whether physical or virtual, together with the Card Account linked to it. "Card Account" means the account to which transactions made with a Card are posted, as defined in the Agreement. "Card Registration" has the meaning given in the section headed "Eligibility and Enrolment". "Device Card Number" has the meaning given in the section headed "Eligibility and Enrolment". "Google Pay" means the mobile payment and digital wallet service provided by Google that allows payment cards registered on a supported Android Device to be used to make payments, and includes Google Wallet where the context requires. "Program Account" means the account established under the Agreement under which Cards are issued. "You" and "your" mean the entity holding the Program Account to which an X4T Card registered in Google Pay relates and, where the context requires, any relevant Administrator or Authorized User.
